PURPOSE

The Direct Ai Legal Agreement establishes the legal foundation governing

the licensing, use, distribution, protection, and operation of every

Direct Ai Product.

This agreement governs every Direct Ai Product distributed by Jon Belew

unless a subsequent written agreement expressly supersedes all or part

of this agreement.

This document combines the Direct Ai Terms of Service, End User License

Agreement (EULA), Privacy Policy, and related legal provisions into a

single canonical legal framework.

Every Direct Ai Product inherits the protections, permissions,

restrictions, responsibilities, and legal standards established by this

agreement.

Individual Direct Ai Products may reference this agreement but shall not

modify, replace, or override its provisions unless expressly authorized

by a subsequent written agreement published by Jon Belew.

If a conflict exists between this document and product-specific legal

documentation, the most recent written agreement published by Jon Belew

shall govern.

INTRODUCTION

Welcome to Direct Ai.

Direct Ai is a collection of digital products, documentation,

and professional AI components designed to help people think more

clearly, create more intentionally, communicate more effectively, and

accomplish meaningful work while working alongside compatible artificial

intelligence platforms.

This Direct Ai Legal Agreement establishes the legal relationship

between Jon Belew ("Publisher") and the individual or organization

obtaining or using a Direct Ai Product ("Licensee").

This agreement defines the rights, responsibilities, permissions,

restrictions, and legal obligations governing the use of every Direct Ai

Product distributed by the Publisher.

By obtaining, downloading, installing, accessing, or using any Direct

Ai Product, the Licensee agrees to be bound by this agreement.

If the Licensee does not agree to the terms of this agreement, the

Licensee must not download, install, access, or use any Direct Ai

Product.

DEFINITIONS

Unless the context clearly indicates otherwise, the following terms have

the meanings set forth throughout this Agreement.

Owner

"Owner" means the individual or legal entity that owns the intellectual

property rights associated with Direct Ai Products.

Publisher

"Publisher" means Jon Belew, or any successor individual or legal entity

that owns, publishes, licenses, or distributes Direct Ai Products.

Throughout this Agreement, references to "the Publisher" refer to the

entity serving in that role at the time this Agreement is in effect.

Product

"Product" means any Direct Ai digital download, documentation, Direct Ai

Operating System (Direct Ai OS), Direct Ai Professional ("Pro"),

Boardroom, Professional DNA, Professional Dossier, Blueprint, Prompt

Library, template, update, expansion, workflow, or other material

distributed under the Direct Ai brand.

Licensee

"Licensee" means the individual or organization that purchases,

downloads, installs, accesses, or uses a Direct Ai Product under this

Agreement.

Director

"Director" means the person using Direct Ai. Throughout Direct Ai

documentation, the terms "Director" and "User" refer to the same

individual. "Director" is the preferred term.

Direct Ai Operating System (Direct Ai OS)

The foundational operating system that establishes the governance,

communication standards, and operating environment inherited by

compatible Direct Ai components.

Direct Ai Professional ("Pro")

A specialized Direct Ai Product providing professional expertise within

a defined discipline while operating under the governance of Direct Ai

OS.

Boardroom

The collaborative operating environment where the Director and installed

Direct Ai Professionals work together under the governance of Direct Ai

OS.

Professional DNA

The canonical identity specification defining the enduring philosophy,

professional judgment, expertise, communication style, and identity of a

Direct Ai Professional.

Blueprint

A structured Direct Ai methodology, framework, guide, workflow, or

instructional resource distributed as a Direct Ai Product.

Documentation

Any manual, guide, specification, reference, instructional material, or

other written content distributed with or relating to a Direct Ai

Product.

AI Platform

Any third-party artificial intelligence platform, service, software, or

provider that hosts, executes, or enables the use of Direct Ai

Products.

ACCEPTANCE OF AGREEMENT

This Direct Ai Legal Agreement is a legally binding agreement between

Jon Belew ("Publisher") and the Licensee.

By purchasing, downloading, installing, accessing, opening, or using

any Direct Ai Product, the Licensee acknowledges that they have read,

understood, and agree to be bound by this Agreement.

The license granted under this Agreement becomes effective immediately

upon the Licensee's first purchase, download, installation, access, or

use of any Direct Ai Product.

If the Licensee does not agree to the terms of this Agreement, the

Licensee must not purchase, download, install, access, open, or use any

Direct Ai Product.

CONTINUING ACCEPTANCE

This Agreement governs every Direct Ai Product obtained by the Licensee,

whether acquired now or in the future, unless a subsequent written

agreement published by Jon Belew expressly supersedes all or part of

this Agreement.

Continued use of any Direct Ai Product constitutes continued acceptance

of this Agreement and any published revisions that become effective

after notice has been provided.

NO TRANSFER OF OWNERSHIP

Acceptance of this Agreement grants the Licensee a limited license to

use Direct Ai Products in accordance with this Agreement.

Acceptance of this Agreement does not transfer ownership of any Direct

proprietary right to the Licensee.

All ownership rights remain exclusively with Jon Belew unless expressly

granted in writing.

These Terms of Service govern the purchase, delivery, and use of Direct

Ai Products distributed by the Publisher.

By purchasing, downloading, accessing, or using any Direct Ai Product,

the Licensee agrees to comply with these Terms of Service and every

other applicable section of this Agreement.

DIGITAL PRODUCTS

Direct Ai Products are distributed as digital products.

Following successful purchase, Direct Ai Products are generally made

available to the Licensee through electronic delivery.

The Publisher reserves the right to modify the method of electronic

delivery at any time without affecting the validity of this Agreement.

PURCHASES

The Licensee agrees to provide accurate information reasonably necessary

to complete a purchase.

The Publisher reserves the right to refuse, cancel, or limit any order

that violates this Agreement, appears fraudulent, or cannot be completed

for legal or operational reasons.

CUSTOMER RESPONSIBILITIES

The Licensee agrees to:

• Comply with this Agreement.

• Use Direct Ai Products only for lawful purposes.

• Maintain the security of downloaded Direct Ai Products.

• Respect the intellectual property rights of the Publisher.

• Refrain from interfering with the distribution, operation, or

availability of Direct Ai Products.

PRODUCT AVAILABILITY

The Publisher may modify, improve, replace, discontinue, or update any

Direct Ai Product at any time.

Nothing in this Agreement obligates the Publisher to continue offering,

supporting, or updating any specific Direct Ai Product.

REFUNDS

Refunds, if offered, are governed by the refund policy published on the

website at the time of purchase.

VIOLATION OF TERMS

Failure to comply with these Terms of Service or any other provision of

this Agreement may result in suspension or termination of the License

granted under this Agreement, in addition to any other remedies

available under applicable law.

END USER LICENSE AGREEMENT

This End User License Agreement ("EULA") grants the Licensee a limited,

personal, non-exclusive, non-transferable, revocable Single-User

License to use Direct Ai Products in accordance with this Agreement.

Direct Ai Products are licensed, not sold.

Nothing contained in this Agreement transfers ownership of any Direct Ai

Product or any associated intellectual property to the Licensee.

LICENSE TYPE

Unless expressly stated otherwise in writing, every Direct Ai Product is

licensed as a Single-User License.

A Single-User License authorizes one individual ("the Licensee") to use

Direct Ai Products through the Licensee's own account on a compatible AI

Platform and on devices owned or controlled by the Licensee.

The Licensee is responsible for maintaining control of the AI Platform

account through which Direct Ai Products are used.

Future licensing models, including Enterprise, Education, or other

specialized licenses, shall be governed by their own applicable license

agreements.

LICENSE GRANT

Subject to compliance with this Agreement, the Publisher grants the

Licensee a personal, non-exclusive, non-transferable, revocable

Single-User License to use the licensed Direct Ai Products.

PERMITTED USE

The Licensee may use Direct Ai Products for personal or internal

business purposes in accordance with this Agreement and applicable law.

Direct Ai Products are intended to assist the Licensee in directing

compatible AI Platforms.

AI-GENERATED OUTPUT

Direct Ai assists the Licensee in directing compatible AI Platforms.

Direct Ai does not independently generate AI content, images, text,

software, audio, video, or other creative outputs.

Ownership, licensing, commercial use, copyright, and other rights

relating to AI-generated outputs are governed by the applicable terms,

policies, and agreements of the AI Platform used to create those

outputs.

Direct Ai makes no representation regarding ownership or licensing of

AI-generated outputs beyond the assistance it provides in directing

compatible AI Platforms.

PROHIBITED USES

Unless expressly authorized in writing by the Publisher, the Licensee

shall not:

• Resell Direct Ai Products.

• Redistribute Direct Ai Products.

• Share Direct Ai Products with unauthorized users.

• Permit another individual to use Direct Ai Products through the

Licensee's AI Platform account or otherwise extend the Single-User

License beyond the Licensee.

• Rent, lease, sublicense, or assign Direct Ai Products.

• Rebrand Direct Ai Products.

• Remove or alter copyright notices or proprietary markings.

• Claim ownership of Direct Ai Products or any portion thereof.

• Create competing commercial products substantially derived from

Direct Ai Products or their protected architecture.

• Circumvent, disable, or attempt to bypass licensing restrictions

established by this Agreement.

NO TRANSFER OF OWNERSHIP

This Agreement grants the Licensee only the limited license expressly

described herein.

All ownership rights, copyrights, trademarks, proprietary rights, and

other intellectual property associated with Direct Ai Products remain

the exclusive property of the Owner.

NON-TRANSFERABLE LICENSE

The license granted under this Agreement is personal to the Licensee and

may not be transferred, assigned, or sublicensed without the prior

written permission of the Publisher.

PERSONAL CUSTOMIZATION

Direct Ai Products are intended to be personalized by the Licensee.

The Licensee may customize, annotate, expand, reorganize, supplement,

adapt, or otherwise personalize Direct Ai Products for the Licensee's

own personal or internal business use.

Examples include, but are not limited to:

• Creating additional prompts

• Rewriting prompts

• Creating custom workflows

• Adding personal notes

• Modifying conversation style

• Creating custom instructions

• Organizing materials to fit the Licensee's workflow

Such personalization does not transfer ownership of any Direct Ai

Product or any associated intellectual property.

PROFESSIONAL NICKNAMES

The Licensee may assign personal nicknames or preferred conversational

names to Direct Ai Professionals for the Licensee's own use.

For example, a Licensee may choose to address "Bruce" by another

preferred name during private use.

Such personalization is considered part of the Licensee's individual use

of Direct Ai and does not alter the underlying identity, ownership, or

intellectual property of the Direct Ai Professional.

A personalized Direct Ai Professional remains a Direct Ai Product

licensed under this Agreement.

PROHIBITED REDISTRIBUTION

The Licensee may not redistribute, publish, market, license, sell,

assign, or otherwise commercially exploit a customized or personalized

version of any Direct Ai Product as an independent product.

Changing names, prompts, branding, artwork, documentation, or other

elements does not create a new product or transfer ownership of the

underlying Direct Ai intellectual property.

ARCHITECTURE PROTECTION

The Direct Ai operating philosophy, organizational structure,

Professional framework, workflow architecture, Boardroom collaboration

model, Professional DNA framework, canonical document architecture, and

related proprietary systems constitute original intellectual property of

Jon Belew.

This Agreement does not authorize reproduction, commercialization, or

creation of competing products substantially derived from the protected

Direct Ai architecture.

protected by applicable intellectual property and copyright laws.

• Learn from Direct Ai Products and apply the principles, workflows,

and methodologies presented within them.

• Personalize Direct Ai Products to better suit the Licensee's own

workflow, preferences, and professional needs.

• Customize prompts, instructions, workflows, notes, and supporting

materials for the Licensee's own use.

• Assign personal nicknames or preferred conversational names to Direct

Ai Professionals for the Licensee's own private use.

• Create additional prompts, workflows, and supporting materials for the

Licensee's own use while using Direct Ai Products as a professional

framework.

BACKUP COPIES

The Publisher encourages the Licensee to maintain backup copies of

purchased Direct Ai Products for archival, recovery, and continuity

purposes.

Backup copies remain subject to this Agreement and may not be shared,

distributed, transferred, or used to extend the License beyond the

Licensee.

INTENDED USE

Direct Ai Products are designed to educate, organize, and assist the

Licensee in directing compatible AI Platforms.

Direct Ai Products are intended to strengthen the Licensee's ability to

think critically, communicate clearly, solve problems, and accomplish

Nothing in this License guarantees any particular outcome, result, or

performance from the use of Direct Ai Products or any compatible AI

Platform.

LICENSE LIMITATIONS

The rights granted in this Section are limited by the remainder of this

Agreement, including but not limited to the End User License Agreement,

• Graphic design and creative direction.

• Marketing and advertising.

• Developing workflows and operational procedures.

The Licensee may use Direct Ai Products while providing professional

Direct Ai Products are intended to assist the Licensee in delivering the

Nothing in this Agreement grants legal permission to redistribute, sublicense, or provide Direct Ai Products to clients as independent products or services.

INTERNAL TRAINING

The Licensee may use Direct Ai Products to improve internal knowledge,

develop training materials, educate employees, and strengthen workplace

processes.

Such use does not authorize distribution of Direct Ai Products to other

individuals who are not separately licensed under this Agreement.

PROTECTING THE LICENSE

The Licensee shall not:

PROTECTING THE PRODUCT

The Licensee shall not:

another individual or organization.

• Remove or alter copyright notices, trademarks, proprietary markings,

or identifying information associated with Direct Ai Products.

• Circumvent or attempt to bypass licensing or access restrictions

established by this Agreement.

PROTECTING THE DIRECT AI ECOSYSTEM

The Licensee shall not:

• Present customized or modified Direct Ai Products as original,

independently created products.

• Create competing commercial products substantially derived from the

protected architecture, organization, branding, or proprietary

• Misrepresent any Direct Ai Product as being officially published,

certified, endorsed, or authorized by the Publisher when it is not.

PERMITTED CUSTOMIZATION

Nothing in these Restrictions prevents the Licensee from learning from,

personalizing, or adapting Direct Ai Products for the Licensee's own

personal or internal business use in accordance with this Agreement.

or permission to redistribute them.

This Agreement is founded upon good-faith use.

Direct Ai is an independent product designed to operate with compatible

AI Platforms.

Direct Ai complements compatible AI Platforms by helping the Licensee

modify, or control any AI Platform.

Nothing in this Agreement shall be interpreted as creating a partnership,

joint venture, sponsorship, endorsement, or affiliation between the

Publisher and any AI Platform unless expressly stated in writing.

INDEPENDENT RESPONSIBILITIES

The Publisher is responsible for the design, documentation, licensing,

and distribution of Direct Ai Products.

Compatible AI Platforms are independently responsible for the operation,

availability, features, security, privacy practices, pricing,

subscriptions, AI model behavior, and generated outputs provided by

their respective services.

The Director remains responsible for directing the AI Platform,

reviewing AI-generated outputs, exercising independent judgment, and

making all final decisions regarding the use of those outputs.

AI PLATFORM TERMS

The Licensee is responsible for complying with the Terms of Service,

Privacy Policies, licensing agreements, and other applicable policies of

each AI Platform used with Direct Ai Products.

Nothing in this Agreement modifies, replaces, or supersedes the terms of

any AI Platform.

PLATFORM CHANGES

Compatible AI Platforms may add, remove, modify, suspend, discontinue,

or otherwise change features, capabilities, pricing, availability, or

functionality at any time.

The Publisher is not responsible for changes made by AI Platforms that

affect the operation, compatibility, or behavior of Direct Ai Products.

While the Publisher intends to maintain compatibility where practical,

the Publisher does not guarantee perpetual compatibility with every AI

Platform or every future version of an AI Platform.

NO CONTROL OF AI OUTPUT

Direct Ai does not independently generate AI content.

All AI-generated responses, images, audio, video, software, code, or

other outputs are generated by the AI Platform selected by the

Licensee.

The Publisher does not control, review, verify, endorse, or guarantee

the accuracy, completeness, legality, originality, or suitability of

AI-generated outputs.

PLATFORM INDEPENDENCE

Direct Ai is designed to remain platform-independent whenever reasonably

possible.

Compatibility with one AI Platform does not imply exclusivity,

preference, or dependency upon that platform.

The Publisher may support additional compatible AI Platforms over time

without modifying the rights granted under this Agreement.

Features, functionality, pricing, availability, performance, and

technical capabilities may change over time.

The Publisher does not guarantee that every Direct Ai Product,

workflow, feature, or experience will remain available or function

identically across every compatible AI Platform.

DIRECTOR RESPONSIBILITY

The Director is responsible for selecting the AI Platform that best

supports the Director's intended objectives and workflow.

The Director acknowledges that results and experiences may vary between

agreements.

The Publisher is not responsible for the privacy practices of third

parties.

CUSTOMER SUPPORT

Information voluntarily provided while requesting customer support may

be retained for the purpose of resolving support requests, improving

customer service, maintaining business records, and complying with

applicable legal obligations.

The Publisher takes reasonable measures to protect information under the

Publisher's control.

However, no method of electronic transmission or digital storage can be

guaranteed to be completely secure.

including the Director's judgment, the selected AI Platform, the quality

of instructions provided, and circumstances beyond the Publisher's

control.

AI PLATFORM DEPENDENCE

Direct Ai Products operate in conjunction with compatible AI Platforms.

The Publisher does not warrant the availability, accuracy, reliability,

performance, compatibility, or continued operation of any AI Platform or

PROFESSIONAL JUDGMENT

Direct Ai Products are educational and productivity tools designed to

assist the Director.

They are not a substitute for qualified legal, medical, financial, tax,

engineering, or other licensed professional advice.

The Director remains responsible for reviewing all information,

exercising independent judgment, verifying important facts, and making

all final decisions.

LIMITATIONS OF WARRANTIES

To the fullest extent permitted by applicable law, the Publisher

disclaims all implied warranties, including but not limited to implied

warranties of merchantability, fitness for a particular purpose, and

excluded under applicable law.

• Internet or network interruptions.

• Third-party software or services.

• Hardware failures.

• Unauthorized modifications made by the Licensee or third parties.

• Misuse of Direct Ai Products.

TERMINATION

This Agreement remains in effect until terminated by the Licensee, the

Termination of this Agreement ends the Licensee's legal right to use

not imply that the Publisher can remotely disable, remove, or deactivate

previously licensed Direct Ai Products.

VOLUNTARY TERMINATION

The Licensee may terminate this Agreement at any time by discontinuing

the use of Direct Ai Products.

The Licensee is encouraged to delete or destroy copies of Direct Ai

Products that are no longer intended for use, except where retention is

TERMINATION FOR MATERIAL BREACH

The Publisher may terminate the License granted under this Agreement if

the Licensee materially breaches this Agreement, including but not

limited to:

• Unauthorized redistribution of Direct Ai Products.

• Unauthorized commercialization of Direct Ai Products.

• Intentional infringement of the Publisher's intellectual property.

• Fraud, deception, or other unlawful conduct relating to Direct Ai

Products.

• Repeated or material violations of this Agreement.

Whenever reasonably appropriate, the Publisher may provide the Licensee

with an opportunity to correct or resolve a non-willful violation before

terminating the License.

EFFECT OF TERMINATION

Upon termination, the Licensee's legal right to use Direct Ai Products

immediately ends.

The Licensee shall promptly discontinue use of Direct Ai Products and,

law.

Continued use, distribution, commercialization, or other unauthorized

exploitation of Direct Ai Products following termination may constitute

applicable law.

REFUNDS

Termination resulting from the Licensee's material breach of this

Agreement does not entitle the Licensee to a refund unless required by

applicable law or the Publisher's published refund policy in effect at

Termination of this Agreement does not affect provisions that are

intended by their nature to survive termination, including Intellectual

Property, Warranty Disclaimer, Limitation of Liability,

DIRECT AI PHILOSOPHY

The Publisher prefers education, communication, and voluntary

compliance whenever reasonably possible.

This Agreement shall be governed by and construed in accordance with the

laws of the State of Texas, without regard to its conflict of law

principles.

JURISDICTION

Any legal action or proceeding arising out of or relating to this

Agreement shall be brought in a court of competent jurisdiction located

within the State of Texas, unless otherwise required by applicable law.

The parties consent to the jurisdiction of such courts for the purpose

of resolving disputes arising under this Agreement.

APPLICABLE LAW

Nothing in this Section limits any rights or remedies that cannot be

waived or modified under applicable law.

If any provision of this Agreement is determined to be unenforceable

AMENDMENTS & UPDATES

The Publisher may revise or update this Agreement from time to time to

improve clarity, accuracy, consistency, legal compliance, or the

operation of Direct Ai Products.

Each revision shall retain the same Document ID and receive a new

Version number in accordance with the Publisher's document

identification standards.

ENTIRE AGREEMENT

This Agreement constitutes the complete and exclusive agreement between

the Publisher and the Licensee regarding Direct Ai Products and

supersedes all prior or contemporaneous understandings,

representations, discussions, or agreements relating to the subject

matter of this Agreement.

NO WAIVER

A failure or delay by the Publisher to enforce any provision of this

Agreement shall not constitute a waiver of that provision or of any

other rights under this Agreement.

Any waiver must be made expressly and in writing by the Publisher.

SEVERABILITY

If any provision of this Agreement is determined to be invalid,

unenforceable, or unlawful under applicable law, that provision shall

be enforced to the maximum extent permitted by law, and the remaining

provisions shall continue in full force and effect.

INTERPRETATION

Section titles and headings are provided solely for convenience and

shall not affect the interpretation of this Agreement.

References to the singular include the plural where appropriate, and

references to one gender include all genders where applicable.

This Agreement shall remain effective until terminated in accordance

with its terms.

This Agreement is intended to promote responsible use of Direct Ai

Products while protecting the Publisher's intellectual property and the

Licensee's rights under the License granted herein.
